ARTICLES OF INCORPORATION

Know All Men by These Presents, That we, Alexander Dever, of the city of Philadelphia, state of Pennsylvania; John J. Hassett, of the city of New York, state of New York, and Roady Kenehan of the city of Denver, state of Colorado, have associated ourselves together as an organization, under the name and style of The International Union of the Journeymen Horseshoers, for the purpose of becoming a body corporate and politic under and by virtue of the laws of the state of Colorado, and in accordance with the provisions of the laws of said state, we do hereby make, execute and acknowledge in court this certificate in writing of our intention so to become a body of corporate, under and by virtue of said laws.

ARTICLE I.

Section 1. The corporate name and style of our said organization shall be "The International Union of the Journeymen Horseshoers of the United States and Canada."

Sec. 2. The object for which our said International Union is formed and incorporated is for the purpose of organizing Local Unions and state organizations, and to facilitate a thorough organization of the trade throughout the United States and Canada for mutual benefit and protection with power to issue one charter to each city or state where a Local Union or state organization is organized, except New York City; there shall be two charters in New York City-No. 1 and No. 7. No. 1 to have jurisdiction over Boroughs of Manhattan, Bronx and Richmond. to have jurisdiction over the Boroughs of Brooklyn and Queens. There shall be transfer cards to transfer members from one Local Union to another. Each Local Union and state organization shall have power to make by-laws in conformity with these articles of incorporation.

ARTICLE II.

No. 7

Section 1. This union shall consist of elective officers and the representatives of local unions and state organizations acting under these articles of incorporation. The basis of representation shall be in accordance with the by-laws.

Sec. 2. Delegates shall not be entitled to a seat in the convention unless the tax of his or their local unions is paid in full, according to the by-laws.

Sec. 3. The convention of the Journeymen Horseshoers. The execu tive council shall call the convention in accordance with a resolution adopted by the delegates at the previous convention, and shall continue in session from day to day until officers are elected for the ensuing term, and transact all business appertaining to the organization.

Sec. 4. The officers of this union shall consist of president, first vice-president and general organizer, second and third vice-presidents The offices of second and third vice-presidents and secretary-treasurer. to expire the day previous to the next convention. The above named officers shall constitute the executive council.

Sec. 5. The president, first vice-president and general organizer and secretary-treasurer of the International Union can not serve as delegates for any local union during their term of office, and they shall receive not less than seven dollars ($7.00) per day during the convention, and the time necessary to travel, and railroad fare to and from place where the session is held, by the most direct route. They shall vote for officers and roll call during the convention.

Sec. 6. Election of officers shall take place at any time during the convention that the majority of the delegates see fit to elect officers. After election of officers they shall be installed and take their seats and transact the remaining business of the convention. The election of officers shall be by ballot. •

ARTICLE III.

Duties of President.

Section 1. The president shall open the convention to transact business at the time specified in the articles of incorporation, and shall preside until his successor is elected; he shall fill all the vacancies in the offices temporarily; he shall appoint all standing committees in the following form: Credentials committee, finance committee, auditing committee, law committee, grievance committee, press committee, guard, assistant secretary; he shall comply with the duties of his office according to the by-laws.

Sec. 2. He shall be the custodian of the bond of the secretary-treas

uruer.

ARTICLE IV.

Duties of First Vice-President and General Organizer.

Section 1. He shall attend all the sessions of the convention, and shall give the president any assistance he may require of him. In the absence of the president he shall perform the duties of the office; he shall organize local unions throughout the United States and Canada; he shall comply with his duties according to the by-laws.

ARTICLE V.

Duties of Vice-Presidents.

Section 1. The second and third vice-presidents pro tem. shall attend the sessions of the convention, and shall give the president any assistance he may require of them; and in the absence of the president and first vice-presidents from any session of the convention, the second and third vice-presidents pro tem. shall perform all the duties of the office.

Sec. 2. The second and third vice-presidents-elect shall have a voice and vote on the executive council; they shall give the president any assistance he may require of them; and in the absence of the president and first vice-president shall perform the duties of the office; and all such acts shall be declared as valid. They shall comply with the duties of their office according to the by-laws.

ARTICLE VI.

Duties of Secretary-Treasurer.

Section 1. Sixty days after his election he shall furnish the president of the board of trustees with a bond of not less than ten thousand dollars, the bond approved by the board of trustees. He shall be bonded and held responsible to the organization for the faithful performance of the duties according to the by-laws. He shall pay no money out between the meetings of the convention only in the following manner: Itemized bills and appropriations to be approved by a majority of the board of trustees. He shall collect from the local unions their dues, assessments and fines.

Sec. 2. The secretary-treasurer shall issue charters to organized bodies of journeymen horseshoers in accordance with these articles of incorporation. He shall comply with the duties of his office according to the by-laws, and he shall be the custodian of the seal of.the incorporation.

Sec. 3. For his services he shall receive such salary as the convention may see fit to pay him at the preceding convention.

ARTICLE VII.

Executive Council.

Section 1. Their duties shall be to act on all strikes and lockouts, and all business that may come before the council; all business shall be in accordance with the by-laws of the International Union.

ARTICLE VIII.

Board of Trustees.

Section 1. The board of trustees shall consist of president, first vicepresident, second and third vice-presidents and secretary-treasurer. They shall examine the secretary-treasurer's bond and approve the same in the required time; they shall examine all bills of the International Union, and, when approved, shall sign a voucher for same on the secretarytreasurer; they shall inquire into all appropriations that the executive council may pass on; they shall comply with their duties as prescribed in the by-laws.

ARTICLE IX.
Vacancies.

In case of the failure of the president and first vice-president and general organizer to perform the duties of their offices, from any cause, the second vicepresident shall succeed to the office, and perform all the duties; and in the absence of the second vice-president, the third vice-president shall perform the duties of the office.

Section 1. Vacancies to be filled in the following form:

Sec. 2. The office of the secretary-treasurer shall be filled according to the by-laws.

ARTICLE X.
Demands.

Demands for shorter hours, scale of wages, and lockouts. shall be strictly in accordance with the by-laws of the International Union.

ARTICLE XI.
Appeals.

Section 1. All appeals from the decision of the executive council must be filed with the secretary-treasurer, twenty days before the convention meets.

ARTICLE XII.
Claims.

Section 1. All claims against the International Union by local unions must be furnished the secretary-treasurer thirty days before the convention meets.

ARTICLE XIII.
Charter Revenue.

Section 1. All local unions accepting a charter from this International Union shall pay a revenue, in accordance with the by-laws of this organization.

ARTICLE XIV.
By-Laws.

Section 1. This organization shall have power to make such prudential by-laws as they may deem proper for the management of the affairs

of this organization, according to the statute in such case made and provided.

Sec. 2. By-laws in conformity with these articles of incorporation may be adopted at each annual convention.

ARTICLE XV.

Principal Office.

Section 1. The principal office of the organization (that is, secretary-treasurer) may be held at any place the delegates in convention shall decide.

ARTICLE XVI.

Section 1. Our said organization is to exist for the term of twenty

years.

BY-LAWS

ARTICLE I.

Duties of President.

Section 1. The president shall preside at all meetings of the convention and executive council and enforce the provisions of the articles of incorporation and the laws thereof, subject to an appeal to the annual convention.

Sec. 2. He shall have the deciding vote on all questions; he shall appoint all officers and committees, when not otherwise ordered, between the annual sessions of the International Union, and present the same to the executive council for their approval.

Sec. 3. He shall sign all orders on the treasury if approved by a majority of the board of trustees for the payment of such moneys as shall be required by the articles of incorporation and special direction of the convention or executive council and none others. He shall issue to all local unions in good standing the signs and passwords at their first regular meetings in January, April, July and October for each year. He shall issue all documents and papers through the secretary.

Sec. 4. He shall submit at each annual session of the International Union, a full written report of all its official acts during the year, and the condition of the local unions and state organization; he shall confine himself in his official capacity strictly to the articles of incorporation, and see that all the laws and regulations are faithfully executed; he shall transmit all official documents and decisions to the local unions and state organization through the International secretary, under the seal of the International Union, and perform such other duties as the articles of incorporation may require.

Sec. 5. All expenses as may have been legitimately incurred in the performance of his duties shall be paid from the International treasury, a bill for the same having first been approved by the auditing or finance committee. He shall receive a salary of $100 a year.

ARTICLE II.

Duties of First Vice-President and General Organizer.

Section 1. The first vice-president and general organizer shall attend the sessions of the convention, and shall give the president any assistance he may require of him, and in the absence of the president from any session of the convention, he shall perform all the duties of the office. He shall also correspond with all towns and cities that, in his judgment, he may think are able to sustain a local union, and, through

the help of other labor organizations, organize and establish a local union in such town or city, and if any city that has been suspended, or has ceased to become affiliated with the International Union, it shall be his duty to organize any such city under the International Union, after submitting the same to the executive council for their approval. All expenses that may have been legitimately incurred in the performance of his duties shall be paid from the International treasury, a bill for the same having first been approved by the finance or auditing committee. He shall have a voice and vote in the executive council; he shall give the president any assistance he may require of him; and in the absence of the president from any meeting of the executive council, he shall perform all the duties of the office, and all such acts shall be declared valid. ARTICLE III.

Duties of Vice-Presidents.

Section 1. The second and third vice-presidents pro tem. shall attend the session of the convention, and shall give the president any assistance he may require of them, and in the absence of the president and first vice-president from any session of the convention, the second vicepresident pro tem. shall perform all the duties of the office.

Sec. 2. The second and third vice-presidents-elect shall have a voice and vote in the executive council; they shall give the president any assistance he may require of them, and in the absence of the president and first vice-president from any meeting of the executive council, the second vice-president shall perform the duties of the office, and all such acts shall be declared as valid.

Sec. 3. In case of the failure of the president and first vice-president and general organizer to perform the duties of their offices from any cause, the second vice-president shall succeed to the office, and perform all the duties, and in the absence of the second vice-president, the third vice-president shall perform the duties of the office.

ARTICLE IV.

Duties of Secretary-Treasurer.

Section 1. The secretary-treasurer shall keep a thorough, systematic account of all matters relating to the finances and indebtedness of the local unions and state organizations, as also all papers, books or other properties belonging to his office.

Sec. 2. He shall be the custodian of the seal of the International Union, and shall attest all official papers or documents emanating from the president or International executive council, attaching the seal of his office thereto.

Sec. 3. He shall keep a true and correct record of the minutes of the proceedings of the International convention; and have his record book at all times ready for examination by the president or executive council, or other proper authority. He shall keep a correct account between the International and local unions and state organizations. He shall pay all orders drawn on him and submt his vouchers for same to the auditing committee at the expiration of his term of office. He shall present to the International Union a full and correct statement of all moneys received and disbursed by him during the year. He shall be the custodian of all money belonging to the International Union. He shall keep an accurate account of its funds. He shall pay all orders drawn on him when signed by a majority of the board of trustees. He shall report in writing to the convention the business transacted by him. He shall send a quarterly statement of all money received and paid by him to each local union and state organization, also the standing of each local union and general information for the good of the craft.
